Governance and Leadership Development
Schwab Charitable Fund (Schwab) came to Olive Grove in 2011 to review its Board of Directors, develop a governance plan and board recruitment strategy, and assist in transitioning the next Board Chair. Schwab had never before experienced a change in Board Chair; the organization’s Chair of the Board of Directors had retained the position since it’s founding. Deciding it was time to step down, the Board Chair planned to exit within a year, along with several board members who were terming out, prompting a significant leadership transition. As the interim President described it, “There was a need for management change, and desire for change, but [the problem] was how to think through that strategically.” The process began by addressing the overall mandate and priorities for Schwab’s governance and Board of Directors in order to establish the tone of change and trust among participants. Olive Grove then worked with Schwab to define the ideal board size and composition, establish future recruiting priorities, a nominating process, and job descriptions for each board position, including the Chair. Schwab led the development of the content in order to establish buy-in to the governance plan and give participants confidence in the future direction of the board. With the support and voiced confidence of the board members and key Fund and Company stakeholders, Olive Grove supported Schwab through a seamless board chairmanship transition.
